Supplier Terms and Conditions Handbook

1. Purpose
This handbook defines the minimum requirements for suppliers providing products or services to Castmen Electronics LLC. These terms and conditions flow down AS9100D requirements, regulatory obligations, and customer-specific requirements. Suppliers must comply with these requirements when accepting purchase orders.
2. General Requirements
Acceptance of Purchase Orders
- Acceptance of a Castmen Electronics purchase order constitutes acceptance of these terms and conditions.
Quality Management System
- Suppliers shall maintain a quality management system compliant with AS9100, ISO 9001, or equivalent.
- If not certified, suppliers must demonstrate effective quality controls subject to Castmen Electronics approval.
Right of Access
- Castmen Electronics, its customers, and regulatory authorities reserve the right of access to supplier facilities and applicable records related to products, processes, and services provided.
3. Product/Service Requirements
Conformance to Requirements
- Suppliers shall ensure that products and services conform to all drawings, specifications, and purchase order requirements.
Documentation and Certifications
- Certificates of Conformance (C of C) are required with each shipment, referencing purchase order number, part number, revision level, and applicable specifications.
- Special processes (plating, heat treatment, soldering, etc.) must be performed by approved sources and documented accordingly.
Calibration
- Calibration services must conform to ISO 17025 or equivalent, with traceability to NIST or other recognized standards.
Counterfeit Parts Prevention
- Suppliers shall prevent the delivery of counterfeit or suspect counterfeit parts. Processes for authenticity verification and obsolescence management are required.
Flow-Down Requirements
- Suppliers shall flow down all applicable requirements (including customer, statutory, and regulatory) to their sub-tier suppliers.
Change Notification
- Suppliers shall notify Castmen Electronics of any changes in product, process, suppliers, or manufacturing location that may affect quality, and obtain written approval prior to implementation.
4. Delivery and Performance Requirements
On-Time Delivery
- Suppliers shall deliver products and services on the date specified on the purchase order. Any anticipated delays must be reported immediately.
Nonconforming Product
- Suppliers must notify Castmen Electronics immediately of any nonconforming product.
- Nonconforming product may not be shipped without written approval from Castmen Electronics.
Corrective Action
- When requested, suppliers must provide timely corrective action responses using structured problem-solving methods (e.g., 8D, 5 Whys).
5. Records and Retention
Retention
- All quality records (e.g., inspection reports, test results, C of C, special process records) shall be retained for a minimum of 10 years, unless otherwise specified by Castmen Electronics or its customers.
Disposition
- After retention, records shall not be destroyed without prior written approval from Castmen Electronics.
6. Ethical and Compliance Requirements
Ethical Behavior
- Suppliers shall conduct business ethically and in compliance with all applicable laws and regulations.
- Employees must be aware of their contribution to product conformity, product safety, and the importance of ethical behavior.
Awareness and Competence
- Suppliers shall ensure their employees are trained and aware of:
- Their contribution to product quality and safety
- The importance of ethical conduct
- The risks of counterfeit parts
Conflict Minerals and Human Trafficking
- Suppliers shall ensure that products supplied to Castmen Electronics do not contain conflict minerals (tin, tantalum, tungsten, and gold) sourced from regions that finance armed conflict or human rights abuses.
- Suppliers must maintain due diligence processes consistent with the OECD Due Diligence Guidance for Responsible Supply Chains or equivalent.
- Suppliers shall not engage in, support, or tolerate human trafficking, slavery, or forced/child labor in their supply chains.
- Upon request, suppliers shall provide evidence of compliance and corrective action if risks are identified.
7. Customer and Regulatory Requirements
Special Requirements
- Suppliers must comply with all additional requirements imposed by Castmen Electronics customers when flowed down via purchase order.
Export Control
- Suppliers must comply with all applicable export control regulations (e.g., ITAR, EAR).
8. Right to Verification and Audit
- Castmen Electronics reserves the right to perform audits or source inspections at the supplier’s facility, with reasonable notice.
9. Revision Control
- Castmen Electronics may revise these Supplier Terms and Conditions at any time. The current version will be provided with purchase orders or made available online.
- Suppliers are responsible for ensuring compliance with the latest revision.
